Bayning was the eldest son of Charles Townshend, 1st Baron Bayning, son of William Townshend and Henrietta Powlett. His mother was Annabella Smith-Powlett, daughter of Reverend Richard Smith and Annabella Powlett. He was educated at Trinity College, Cambridge.
